Director, Executive Compensation, you will work closely with the
Chief Human Resources Officer and Senior Vice President, Total
Rewards, and will be an integral member of the team, supporting
extensively with board preparations and acting as a partner to

typical day:
- Partner with essential corporate functions, including
communications, investor relations, HR operations, payroll,
finance, accounting, tax and legal, to provide strategic support of
and advice in relation to all aspects of the executive compensation
function. -
- Lead the design, implementation, and administration of
executive compensation and equity programs aligned with the
company's strategic goals and total rewards philosophy. -
- Responsible for creating the compensation committee's annual
work plan and associated agenda planning; developed analysis,
recommendations, and supporting materials for presentation to the
compensation committee. -
- Oversee direct report responsible for the administration of
equity plans, including restricted stock unit, performance stock
unit, and option awards. -
- Responsible for the CD&A, its creation and ensuring it
"tells the story". -
- Responsible for executive compensation tables and related
reporting supporting -the annual proxy statement; additionally,
provide strategic support related to stockholder engagement. -
- Model annual equity forecast expense in partnership with
accounting and financial planning and analysis teams; conduct
regular analysis of and modeling for authorized share usage. -
- Track proxy advisor policy changes and perform Pro-forma
analyses related to say-on-pay and equity plan recommendations.

- Provide analyses of director and executive compliance with
stock ownership policies. -
- Maintain records of and inventory for employment
agreements/arrangements; create regular reporting to summarize
current/historical executive compensation (cash and long-term) -
- Create benchmarking exhibits of CEO and executive pay levels;
support executive offers, severance packages and pay
recommendations. -
- Track and ensure compliance with the regulatory environment for
executive compensation, including concerning ISS and Glass Lewis

- Maintain productive and effective relationships with outside
consultants, vendors, and other external partners, e.g. stock plan
vendor - -What you need to succeed at XPO:At a minimum, you'll
need:
- 8 years of relevant experience, with several spent in the
executive compensation specialism -
- Subject matter expertise in executive compensation, including
related governance and accounting implications, compensation
committee preparation, managing the development of CD&A
agreements, compiling information for annual Proxy statements and
relevant filings
- Experience with multiple jurisdictions -It'd be great if you
also have:
- 10+ years relevant experience
- Strong business acumen and orientation; makes decisions with an
enterprise-wide lens. - -
- Displays the charisma and credibility necessary to build
relationships and motivate and influence others to get the job
done. Has high levels of both IQ and EQ -
- An efficient, logical, and rational problem solver. Maintains a
results-driven, resilient attitude even through tough times
- Strategic and tactical; knows when to stay high level but is
willing and capable of rolling up sleeves to get things done when
necessary
- A strong leader of people who possesses integrity and honesty.
