Position Summary:The Lone Pine Legal & Compliance Team seeks an attorney with 3-6 years of experience at a law firm or in-house legal department. The attorney will work on a variety of matters both within the Legal & Compliance Team and also working in coordination with other Lone Pine business units. Experience with third-party due diligence, compliance risk assessment of vendors and contract drafting and negotiation strongly preferred. Familiarity with law and regulations impacting investment advisers, in particular with respect to the use of alternative data, expert networks and other forms of investment research also strongly preferred. Most important, we are looking for an intellectually curious individual with a stellar work-ethic who wants to work collaboratively both within the Legal and Compliance Team and Lone Pine as a whole. This is very much a "let's all roll-up our sleeves and work together" type of role.
This role is partially remote on the following designated days:- Every Friday from the first business day in September following Labor Day through the week preceding Memorial Day- Every Thursday and Friday from the week of Memorial Day through and including the first Friday in September preceding Labor Day- From the Monday before the Thanksgiving holiday is observed, through and including the Friday of that week- From December 26 through and including January 1
Responsibilities:Broadly speaking, the Associate General Counsel will function in the following primary areas (with "Legal and Compliance Oversight of Investment Research" being the primary focus):
Legal and Compliance Oversight of Investment Research:

  • Provide advice and guidance on regulatory and compliance issues relating to Lone Pine's engagement with providers of investment research such as expert networks, "alternative data" providers, independent research providers, political intelligence firms and others (collectively, "Research providers").
  • Assist in training relevant staff in best practices.Due Diligence and Monitoring of Research Providers:
    • Oversee the implementation and enhancement of Lone Pine's policies and procedures relating to oversight of Research Providers
    • Oversee the process of onboarding and monitoring Research Providers, including conducting initial and ongoing risk-based due diligence of such providers, including, review of DDQs, sample research, news and other information, and arranging due diligence meetings with Research Providers.
    • Maintain systems for documentation of such initial and ongoing due diligence.Research Provider Contracts:
      • Negotiate research and data contracts for new and existing Research Providers
      • Oversee process of Research Provider contract renewal and amendment

        Cybersecurity:
        • Assisting in reviewing and negotiating vendor agreements to ensure appropriate data protection provisions are included.
        • Work with the Lone Pine Information Technology Team to assist in vendor due diligence and oversight.
        • Review new technology and cybersecurity regulations, among others, and advise on regulatory and contractual implications.
        • Participate and advise on cyber incident exercises, review incident response plans, and assist in providing training in line with changing regulatory guidance and best practices.
          General Legal and Compliance:
          • Review and negotiate and broad range of agreements such as confidentiality agreements, distribution agreements, service/vendor contracts, counterparty-related agreements and KYC or tax requests, and any and all other one-off matters related to Lone Pine's day-to-day operations.
          • Assist with various aspects of day-to-day maintenance of the firm's compliance program with the firm's Chief Compliance Officer, including updates/implementation of written policies and procedures.
          • Assist with documentation related to investments in private companies.
          • Conducting forensic reviews of trades and other compliance surveillance (e.g., review of "favorable" trades).
            General Private Fund and Investment Adviser:
            • Working with Lone Pine's Investor Relations team to understand private placement rules and both U.S. and global marketing rules.
            • Review of fund offering documents.
            • Review of various agreements with investors.
            • Consideration of fund governance questions.
            • Understanding new global regulations and applicability to Lone Pine.

              Required Skills and Background:
              • 3-6 years of experience at a law firm or in-house legal department
              • Juris Doctorate required
              • Active membership, in good standing, of at least one state bar
              • Self-motivated and intellectually curious
              • Detail-oriented and organized
              • Strategic thinker with initiative, who proactively seeks out internal resources and proposes solutions
              • Must maintain a high level of professionalism and exercise a high level of discretion in handling confidential matters/materials
              • Must possess a team-focused attitude with a demonstrated ability to work collaboratively with others, with the ability to also be extremely effective independently
              • Ability to exercise sound judgment and discretion
              • Strong work ethic and high level of professionalism and integrity
