Under the supervision of the Office of the General Counsel and working closely with the Companys most senior executives and with attorneys in the Legal Department, this role provides paralegal and administrative support to a sophisticated public company legal department, performing fact investigations, legal and documentary research, drafting and revising legal documents and correspondence, maintaining and updating files and records, monitoring corporate and regulatory filing deadlines and preparing related filings, assisting with litigation processes and materials, including depositions and other discovery materials.

Duties and responsibilities include:

  • Assist in drafting and reviewing legal documents (contracts, correspondence, memorandum, board books, etc.)
  • Conduct research on and review, analyze and evaluate data for complex/sensitive requests or other legal documents and correspondence
  • Assist in conducting factual, legal and regulatory research and due diligence
  • Assist in preparing and assembling presentations and materials for various company activities including management, board and regulatory meetings
  • Assist in drafting and maintaining minute books and resolutions
  • Assist with the formation of legal entities and maintaining organizational documents
  • Monitor and review relevant regulations, advise on regulatory changes, and support statutory and regulatory compliance efforts and corporate transactions and board and committee processes
  • Respond to requests for information and work with outside auditors, state regulators and other outside parties
  • Establish, develop and manage effective working relationships at all levels of the organization
  • Assist in summarizing legal documents
  • Assist in the preparation and filing of various regulatory documents, including SEC filings, State Departments of Insurance filings and any other filings necessary to comply with federal, state and local law
  • Assist with other duties, as needed, including administrative tasks, coordinating meetings, planning and booking travel, processing expense reimbursements and answering phones
  • Maintain proficiency with Company technology, including software and databases

  • Minimum of 7 of years corporate experience. Insurance industry experience preferred.
  • Bachelor's Degree
  • Paralegal certificate preferred.
